PUBLIC OFFER<\/strong><\/p>\n

on the provision of charitable donations<\/strong>\u00a0<\/strong><\/p>\n

This offer is addressed to an indefinite number of individuals and legal entities (hereinafter referred to as “Benefactor”) – visitors (participants) of the website of the Charitable organization “VALERIA GUZEMA CHARITABLE FOUNDATION”, EDRPOU\u00a0code 44016549 (hereinafter – the Organization:), on the Internet\u00a0guzema-foundation.com<\/u><\/a>\u00a0(hereinafter – the Site), and is an official and public proposal of the Organization, represented by the Chairman of the Board Guzema Valeria Mikhailovna, acting on the basis of the Statute, to enter into a charitable donation agreement (hereinafter – the Agreement), the subject and essential conditions of which are as follows:<\/p>\n

  1. Terms and definitions<\/strong>: <\/strong><\/li>\n<\/ol>\n

    “Public Offer” <\/strong>is a valid offer of the Organization, posted on the Site, to provide a charitable donation, addressed to an unlimited number of persons, including the Benefactor.<\/p>\n

    “Acceptance”<\/strong> – full and unconditional acceptance of the Public Offer by making actions to make a money transfer using payment forms and funds posted on the Site, as well as by transferring funds to the current account of the Organization through banking institutions. The moment of Acceptance is the date of the money transfer and\/or crediting of funds to the bank current account of the Organization.<\/p>\n

    “Charitable donation” <\/strong>– free transfer of funds by the Benefactor\u00a0to the Organization to achieve certain pre-determined goals, in accordance with the Statute, the Agreement and the Law of Ukraine “On Public Associations”, the Law of Ukraine “On Charitable Activities and Charitable Organizations”.<\/p>\n

      \n
    1. Scope of the <\/strong>agreement<\/strong><\/li>\n<\/ol>\n

      2.1. The subject of this Agreement is the free and voluntary transfer by the Benefactor\u00a0to the property of the Organization of money or other valuables, by making voluntary donations for the statutory activities of the Organization.<\/p>\n

      2.2. The Benefactor independently determines the amount of the charitable donation. The subject of this Agreement is not the receipt of profit directly or indirectly by any of the parties to the Agreement.<\/p>\n

        \n
      1. Acceptance of the Offer<\/strong><\/li>\n<\/ol>\n

        3.1. The\u00a0Benefactor\u00a0agrees\u00a0with\u00a0all\u00a0the\u00a0provisions\u00a0of\u00a0the\u00a0Agreement, is\u00a0fully\u00a0aware\u00a0of\u00a0and\u00a0agrees\u00a0with\u00a0the\u00a0subject\u00a0of\u00a0the\u00a0Agreement, for\u00a0the\u00a0purpose\u00a0of\u00a0public\u00a0collection\u00a0of\u00a0donations\u00a0and\u00a0the\u00a0right\u00a0of\u00a0the\u00a0Organization\u00a0to\u00a0use\u00a0the\u00a0Charitable\u00a0Donation\u00a0for\u00a0statutory\u00a0purposes.<\/p>\n

          \n
        1. The<\/strong>moment<\/strong>of<\/strong>\u00a0<\/strong>concluding<\/strong>\u00a0<\/strong>the<\/strong>\u00a0<\/strong>Agreement<\/strong><\/li>\n<\/ol>\n

          4.1. Benefactor\u00a0and Organization, guided by art. 207, part 2 of art. 639, art. 641, 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance the Agreement is considered concluded in writing. However, the Parties agree that failure of the parties to comply with the written form of the transaction does not mean its invalidity.<\/p>\n

            \n
          1. Rights and responsibilities of the Organization<\/strong><\/li>\n<\/ol>\n

            5.1. The Organization has the right to:<\/p>\n

            – Receive Charitable Donations and use them in accordance with the terms of this Agreement;<\/p>\n

            – To change the directions of use of the donation within the limits of the Statutory activity of the Organization and the current legislation of Ukraine without the consent of the Benefactor;<\/p>\n

            – Without the consent of the Benefactor to use part of the Charitable donation for administrative expenses of the Organization, in an amount not exceeding that provided by the current legislation of Ukraine.<\/p>\n

            5.2. The Organization is obliged to:<\/p>\n

            – In case of using the donation contrary to the purposes of this Agreement, return the money to the Benefactor upon his written application.<\/p>\n

              \n
            1. Benefactor<\/strong>‘s rights<\/strong><\/li>\n<\/ol>\n

              6.1. The\u00a0Benefactor\u00a0has\u00a0the\u00a0right\u00a0to\u00a0make\u00a0Donations\u00a0anonymously;<\/p>\n

              6.2. Monitor\u00a0the\u00a0targeted\u00a0use\u00a0of\u00a0charitable\u00a0donations.<\/p>\n

              1. Place of public fundraising:<\/strong><\/li>\n<\/ol>\n

                7.1 Public collection of donations is held in any country of the world. The activities of the Organization related to public fundraising are carried out at the location of the Organization.<\/p>\n

                1. Fundraising period<\/strong><\/li>\n<\/ol>\n

                  8.1. The public collection of donations continues until the liquidation of the Organization, unless otherwise specified by the Organization.<\/p>\n

                  1. The procedure for using charitable donations<\/strong><\/li>\n<\/ol>\n

                    9.1. The use of charitable donations collected under the Agreement is carried out in accordance with the statutory objectives of the Organization.<\/p>\n

                    9.2. Organization disposes of charitable donations at its own discretion in accordance with the Charter and legislation of Ukraine.<\/p>\n

                    9.3. Benefactor\u00a0agrees\u00a0that\u00a0the\u00a0amount\u00a0of\u00a0the\u00a0donation\u00a0is\u00a0not\u00a0refundable, except\u00a0in\u00a0cases\u00a0specified\u00a0by\u00a0current\u00a0legislation\u00a0of\u00a0Ukraine.<\/p>\n

                    9.4. Liability of the parties for violation of this Agreement or the procedure for using Charitable Donations is provided by the requirements of current legislation of Ukraine.<\/p>\n

                    1. Procedure for access to the financial statements of the Organization<\/strong><\/li>\n<\/ol>\n

                      10.1. Access to the financial statements of the Organization is provided by the Benefactor\u00a0upon his written request.<\/p>\n

                      10.2. Other information is provided by the Organization in the manner and within the time limits provided by the legislation of Ukraine.<\/p>\n

                        \n
                      1. Miscellaneous<\/strong><\/li>\n<\/ol>\n

                        11.1.\u00a0All expenses for the payment of amounts (commissions) related to the transfer and crediting of donations are borne by the Benefactor.<\/p>\n

                        11.2.\u00a0By accepting the Acceptance, the Benefactor confirms that he is acquainted with and agrees with the terms of the Privacy Agreement<\/strong> and the Terms of Use of the <\/strong>S<\/strong>ite<\/strong>.<\/p>\n

                        11.3.\u00a0The Benefactor agrees that after entering information about himself during the Charitable Donation, subscribing to the news of the Organization or registering on the Site to the e-mail address or contact phone number of the Benefactor, the Organization may send letters and messages, including advertising, and has the right, without the consent of the Benefactor, to publish on the Site or in any mass medium the surname, name and patronymic or denomination of the Benefactor as the Benefactor of the Organization.<\/p>\n

                        11.4. The Organization undertakes not to pass e-mail and other information about Benefactor\u00a0to third parties, except as provided by applicable law of Ukraine.<\/p>\n
